Gigs Central End User Terms

These End User Terms (“Terms”) are enforceable legal commitments between you (“you,” “your,” “yours,” or “End User”) and the entity (“Customer”) through which you are receiving the Gigs Services (as defined below). By accessing or using the Gigs Services, you agree to be bound by these Terms, and your failure to abide by these Terms may result in the suspension or termination of your ability to use the Services. If you do not agree to these Terms, do not access or use the Gigs Services.
1. Gigs Services
The Gigs Services are the global connectivity enablement platform and related services provided by Gigs, as described in the Gigs Central Terms of Service between Gigs and the Customer through whom you obtained the Gigs Services (“Gigs TOS”). The Gigs Services include the Services defined in the Gigs TOS. The Gigs Services may also include any updates, upgrades, or modifications that Gigs may provide or make available to you from time to time.
2. Gigs Services Free to End Users
The Gigs Services are paid for by the Customer and provided to you, the End User, free of charge. Accordingly, you understand and agree that the Gigs Services are provided on an “as is” basis and shall be available to you for only as long as Customer has a valid agreement to obtain the Gigs Services. You have no rights in the Gigs Services, any telephone number provided as part of the Gigs Services, or any other related item provided to you with the Gigs Services. Your access to and use of the Gigs Services may be terminated or suspended at any time for any reason.
3. License
Subject to the terms and conditions of these Terms and the Gigs TOS, Gigs grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Gigs Services for your personal, non-commercial use in the Territory (as defined in the Gigs TOS), in accordance with the Documentation (as defined in the Gigs TOS) and any applicable Gigs Services (as defined in the Gigs TOS).
4. Restrictions
You agree not to: (a) copy, modify, create derivative works of, or reverse engineer, decompile, or disassemble the Gigs Services or any part thereof; (b) rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Gigs Services or any part thereof to any third party; (c) use the Gigs Services for any illegal, fraudulent, or abusive purpose, or in any manner that interferes with or disrupts the integrity or performance of the Gigs Services or any third-party network or service; (d) attempt to gain unauthorized access to the Gigs Services or any related systems or networks; (e) remove, alter, or obscure any copyright, trademark, or other proprietary notices or labels on or in the Gigs Services; (f) use the Gigs Services in any manner that violates any applicable law, regulation, or third-party right, including any intellectual property, privacy, or contractual right; or (g) use the Gigs Services in any manner that is prohibited by the Gigs TOS.
5. Ownership
Gigs and its licensors own all right, title, and interest in and to the Gigs Services and all intellectual property and other proprietary rights therein. Nothing in these Terms transfers or assigns to you any ownership or other rights in the Gigs Services, except for the limited license granted in Section 3. You acknowledge and agree that the Gigs Services are licensed, not sold, to you. In addition, and without limitation to the above:
End User shall acquire no proprietary interest in any Mobile Number assigned by Gigs for its use. Unless caused by the sole negligence of Gigs, End User shall indemnify and hold Gigs, its officers, employees, suppliers of service and agents harmless against any and all claims, demands, suits, judgments, causes of action, losses, expenses, fees (including reasonable attorney's fees), and liability or damages for libel, slander or infringement of copyright from the material transmitted via the access telephone number, and against any and all other claims, demands, suits, judgments, causes of action, losses, expenses, fees (including reasonable attorney's fees), liability, including without limitation for any personal injury or death, arising in any way directly or indirectly in connection with this Agreement or the use or inability to use the access Mobile Number (whether caused in whole or in part by the negligence of suppliers of service). This indemnity shall survive the termination of this Agreement.
End User shall, and shall be required to safeguard End User’s SIM Card and not to allow any unauthorized person to use End User’s SIM Card. End User agrees not to, and not to allow any other person to, directly or indirectly alter, bypass, copy, deactivate, remove, reverse-engineer or otherwise circumvent or reproduce the encoded information stored on, or the encryption mechanisms of, End User’s SIM Card. Gigs may, from time to time, remotely update or change the encoded information on End User’s SIM Card.
6. Feedback
If you provide any feedback, suggestions, or comments to Gigs regarding the Gigs Services, you agree that Gigs may use, disclose, reproduce, distribute, and exploit such feedback without any restriction or obligation to you.
7. Privacy
Gigs may collect, use, and disclose your personal data in connection with the Gigs Services, in accordance with the Gigs Privacy Policy, available at https://www.gigs.com/legal/privacy-policy, and the Data Processing Addendum, available at https://gigs.com/legal/terms-of-service-data-processing-agreement-partner, which are incorporated by reference into these Terms. You consent to such collection, use, and disclosure of your personal data by Gigs and its service providers, and you acknowledge that your personal data may be transferred to or accessed from countries other than your country of residence, which may have different data protection laws and standards.
8. Third-Party Services
The Gigs Services may allow you to access or use third-party applications, services, or networks (collectively, “Third-Party Services”). Your use of such Third-Party Services is subject to the terms and conditions of the respective third-party providers, and you agree to comply with such terms and conditions. Gigs is not responsible or liable for any Third-Party Services or any issues arising from your use of such Third-Party Services.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE GIGS SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. GIGS AND ITS LICENSORS AND SERVICE PROVIDERS DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SATISFACTORY QUALITY. GIGS DOES NOT WARRANT THAT THE GIGS SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. GIGS DOES NOT WARRANT OR GUARANTEE THE AVAILABILITY, RELIABILITY, QUALITY, COVERAGE, OR PERFORMANCE OF THE CONNECTIVITY SERVICES OR ANY THIRD-PARTY SERVICES. YOU USE THE GIGS SERVICES AT YOUR OWN RISK AND RESPONSIBILITY.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GIGS OR ITS LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE GIGS SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF GIGS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to defend, indemnify, and hold harmless Gigs and its licensors and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Gigs Services in violation of these Terms, any applicable law, regulation, or third-party right, or any claims by the Partner or any other third party.
12. Term and Termination
These Terms are effective as of the date you first access or use the Gigs Services and will remain in effect until terminated as provided herein. You may terminate these Terms at any time by ceasing to use the Gigs Services and deleting any Gigs software or applications from your devices. Gigs may terminate these Terms at any time by providing notice to you or by suspending or discontinuing your access to the Gigs Services. Upon termination of these Terms, your license to use the Gigs Services will automatically terminate and you will cease to use the Gigs Services and delete any Gigs software or applications from your devices. Sections 5, 6, 9, 10, 11, and 13 will survive termination of these Terms.
13. General
These Terms are governed by the laws of the State of California, USA, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the federal and state courts located in San Francisco, California, and you consent to personal jurisdiction and venue in such courts. These Terms constitute the entire agreement between you and Gigs regarding the Gigs Services and supersedes any prior or contemporaneous agreements, communications, or understandings, whether written or oral, concerning the subject matter hereof. These Terms may not be modified or amended except by a written instrument signed by both you and Gigs. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms or any of your rights or obligations hereunder, without the prior written consent of Gigs. Gigs may assign or transfer these Terms or any of its rights or obligations hereunder, without your consent. Any waiver of any provision of these Terms must be in writing and signed by the waiving party. No failure or delay by either party in exercising any right, power, or remedy under these Terms will operate as a waiver of such right, power, or remedy.
