Gigs Secondary Numbers Terms & Conditions (UK)

    These Gigs Secondary Numbers Terms and Conditions (“Terms”) apply to your use of the Secondary Numbers Service provided by Gigs UK Ltd. (“Gigs,” “we,” or “us”), and are between Gigs and its end user customer(s) (“you,” “your,” or "End User”). By accessing, using, or paying for the Secondary Numbers Service, or by clicking a button or checking a box marked “I Agree” (or something similar) when signing up for the Secondary Numbers Service, you agree: (i) that you are a legal resident of the UK and at least 18 years old (or the age of majority in your jurisdiction), and (ii) you have reviewed and agree to be bound by these Terms.  Additionally, you understand and agree that the Secondary Numbers Service is also subject to the terms of your Gigs End User Service Agreement (“Service Agreement”), as the Secondary Numbers Service is designed for use only in conjunction with your Gigs Service (as such term is defined in your Service Agreement).  In the event of a conflict between these Terms and the Service Agreement, these Terms shall prevail but solely with respect to your use of the Secondary Numbers Service.  Capitalized terms shall have the meanings set forth herein.

    1. SECONDARY NUMBERS SERVICE. 

    2. Generally. The secondary numbers service provided by Gigs hereunder gives you with an additional, inbound-only secondary mobile number (“Secondary Number”) for personal, non-commercial use allowing you to receive (i) inbound voice calls via a UK mobile virtual number (07 prefix), and (ii) inbound SMS or text messages from UK numbers through the same virtual number (the “Secondary Numbers Service”). Gigs may contract with a third-party agent (each, a “Partner”) to assist in certain administrative aspects of Gigs' provision of services to you (including, for example, billing services in some cases) or with Third-Party Connectivity Providers to support Gigs's provision of the Secondary Numbers Service, but you understand and agree that the Secondary Numbers Services are provided to you by Gigs (and not by Partner). Subject to the foregoing, the Secondary Numbers Services may be subject to additional Partner terms and conditions (“Partner Terms”) that are provided to you or otherwise made available by Partner.

    3. Services Limitations; Restrictions.  You agree to only use the Secondary Numbers Services in compliance with these Terms and applicable laws. Except as otherwise expressly stated, you acknowledge and agree that use of your Secondary Number is also subject to the following limitations:

      1. Inbound Only; UK Only.  You cannot make outbound calls and/or send outbound SMS or text messages using the Secondary Numbers Service.  Additionally you will only be able to receive inbound calls and/or SMS or text messages from UK numbers.

      2. No Emergency Services.  Because the Secondary Numbers Service does not support the placing of outbound communications, the Secondary Numbers Service cannot be used to contact emergency numbers (e.g., calls to 999, 112, etc.).  You must use other connectivity services for any outbound emergency communications.

      3. SMS Delivery Limitations.  While the Secondary Numbers Service is designed to receive SMS and text messages, we cannot guarantee the successful delivery of all messages from all services, particularly One-Time Passwords (OTPs), verification codes, or messages from short codes. This is due to various factors outside of our control, including network routing limitations, sender policies, fraud prevention measures implemented by sending services and Third-Party Connectivity Provider limitations. You should not rely on the Secondary Numbers Service for critical OTPs or verification codes, especially those that originate from outside the UK.

      4. Caller ID and Number Identification.  Please note that (a) for incoming calls, the caller's number should generally be displayed (Caller ID), and (b) for incoming SMS, the sender will appear as the name of our Partner, but the original sender's phone number will be included within the SMS content.

      5. Voicemail.  To safeguard your privacy, calls directed to your Secondary Number will generally not be rerouted to the voicemail service of your primary number. However, we cannot guarantee the complete prevention of the caller hearing a voicemail greeting message, particularly in instances where a customized greeting has been established on your primary number.

      6. Usage Limitations.    The Secondary Numbers Service is limited to a number of inbound call minutes and/or text and SMS message limits specified within the service plan for your mobile services.  Additionally, the Secondary Numbers Service is for personal, non-commercial use only

      7. Number Assignment; Retention.  If you choose to activate a Secondary Number, you will be assigned one or more UK mobile virtual numbers with an “07” prefix. The number of different Secondary Numbers you can activate per subscription will be specified in your Gigs account, subscription plan details, or within your account in the Partner system.  You further acknowledge and agree that you do not own the assigned Secondary Number and have no right to retain any given Secondary Number indefinitely.

      8. Not Eligible for Porting.  The Secondary Numbers Service currently does not support porting of Secondary Numbers in or out to another telecommunications provider.

      9. Compliance. You agree to comply with Vonage’s Acceptable Use Policy when using the Secondary Numbers Service. You can find the policy at https://www.vonage.com/legal/communications-apis/acceptable-use, as may be updated from time to time. If there’s ever a conflict between this policy and your Service Agreement, the rule with the stricter requirement will apply to your use of the Secondary Numbers Service.

    4. Changes to Services.  For the avoidance of doubt, Gigs reserves the right to modify or update these Terms, the Secondary Numbers Services, or any part thereof, at any time and in its sole discretion in accordance with the terms of your Service Agreement, including any required notice provisions related to such changes. The current version of these Terms is noted above and, if and when changed, will become effective in accordance with the terms of your Service Agreement.

    1. LIMITATION, SUSPENSION, & TERMINATION OF SERVICES.

      1. By End User.  You may terminate your use of the Secondary Numbers Service at any time in accordance with your Service Agreement.  Note that termination of the Secondary Numbers Services does not also terminate your Gigs Services.  Termination of the Secondary Numbers Service by you will take effect at the end of your current paid billing period.  Additionally, you may terminate for any reason without penalty within fourteen (14) days after you activate your Secondary Numbers Services (the “Cooling-Off Period”).

      2. By Gigs.  Gigs may suspend or terminate your use of the Secondary Numbers Service in accordance with the terms of your Service Agreement.  Additionally, Gigs may terminate your use of the Secondary Numbers Services if you breach any of these Terms.

      3. BILLING, PAYMENTS, & TAXES.  The Secondary Numbers Services will be billed in accordance with the period of your underlying service plan and details applicable to your Service Agreement.  Except as may be required by applicable law, upon any termination or cancellation of your Secondary Numbers Services, no refunds will be issued.  Notwithstanding the foregoing, where you terminate the Secondary Numbers Services within the Cooling-Off Period, you are entitled to a refund of all payments made by you. Where we have started to provide the Secondary Numbers Services to you before the date you cancel these Terms, you must pay for any Secondary Numbers Services you have already received.

      4. GIGS PROPRIETARY RIGHTS.  You agree that, as between you and Gigs, the Secondary Numbers Services and all underlying aspects thereof including, without limitation, any patents, trademarks, service marks, copyrights, know-how, software, APIs, interfaces, platforms, dashboards, infrastructure components, specifications, schematics, images, text, graphics, illustrations, logos, or any products, features, or functionalities offered by the Services, and all intellectual property rights related thereto, are the exclusive property of Gigs and its licensors or suppliers. Except as explicitly provided herein, nothing in this Agreement shall be deemed to grant any rights, including any intellectual property rights, to the Services.

      5. OPERATION OF THE SECONDARY NUMBERS SERVICE. 

      6. We will ensure that the Secondary Numbers Service will operate materially in accordance with its intended functionality, however we do not make any guarantees that:

        1. the Secondary Numbers Service will be fully available at all times;

        2. your access to the Secondary Number Service will be uninterrupted or error free;

        3. the Secondary Numbers Service will be available at any particular time or location (in each case, to the extent beyond Gigs's reasonable control).

      7. Gigs is not responsible for any damage to your device or loss of data that results from your use of the Secondary Numbers Service or download of any related content, unless this has occurred as a result of Gigs's failure to take reasonable skill and care.

      8. Gigs has no responsibility in respect of any third-party products or services, including in respect of any such products which incorporate or are packaged with the Secondary Numbers Service, or any products which are advertised or offered by a third party through the Secondary Numbers Service.

      9. Limitation of Liability.

      10. Gigs will always be responsible to you for losses in respect of: (a) death or personal injury arising as a result of Gigs's negligence; (b) fraud on the part of Gigs; and (c) any other liability which cannot be excluded or limited under applicable law.

      11. Gigs is only responsible to you for any loss or damage which directly results from Gigs not performing its obligations under these Terms. If you suffer this loss or damage, our liability will not exceed £2000.

      12. Gigs is not responsible to you for any loss or damage relating to your use of the Secondary Numbers Service in a way which is not permitted under these Terms.
